Scope and seller
These Commercial Terms govern paid Sonize subscriptions, credit packs, event passes, and other digital services sold by SONIZE (Société par actions simplifiée (SAS)), registered at 5 rue Jean-Marie David, 35740 Pacé, France under SIREN 107390304, SIRET 10739030400015, RCS Rennes 107390304, RNE 107390304, VAT identifier or status FR71107390304. Contact: contact@sonize.io, +33230964996. The order summary shown before payment identifies the purchased service and price.
Prices, taxes, and payment
Prices are shown in the checkout currency before you pay. Where Sonize is configured to display consumer prices inclusive of VAT, the price on the pricing screen is the final price you are charged; otherwise consumer prices are displayed excluding VAT and the tax is added and itemised at checkout. Every price screen states which of the two applies, so you always know before paying. A business buyer established in another EU Member State who supplies a valid VAT number of that State is invoiced without French VAT under the reverse charge (Directive 2006/112/EC, art. 196) and accounts for the tax itself. A buyer established in France is charged French VAT whether or not it holds a VAT number, and a buyer established outside the EU is invoiced under the place-of-supply rules that apply to it. For consumers in the European Union the total price payable, taxes included, is in every case shown before you place the order and on the order button itself (art. L221-5 of the French Code de la consommation). Stripe processes card payment for orders placed on the website. The order is accepted, and the contract concluded, when payment is confirmed and the purchased entitlement appears in the account; the invoice or receipt is sent to the account email address.
In-app purchases through Apple and Google
Subscriptions, credit packs, and passes bought inside the Sonize iOS or Android app are not sold by SONIZE (Société par actions simplifiée (SAS)). Apple (App Store) or Google (Google Play) takes those orders under its own terms and privacy policy, and is the merchant of record for them where its agreement for your store and territory provides that. Sonize verifies the store receipt and grants the entitlement in your account.
Sonize never holds your payment details and cannot cancel a store subscription on your behalf. Refunds differ by store, and Sonize is not powerless in both cases: Apple handles App Store refunds itself and we cannot issue one, but Google Play lets a developer refund its own orders, so for a Play purchase you may ask us as well as Google, and we refund where your statutory rights or these Terms require it. A refund or withdrawal request for an App Store purchase goes to Apple, at reportaproblem.apple.com or under Settings, your name, Media and Purchases, View Account, Purchase History. For a Google Play purchase it goes to Google, at play.google.com/store/account/orderhistory. Cancellation is handled in the store's own subscription settings — see Subscriptions and cancellation below.
If a store refuses a request you believe is well founded, write to contact@sonize.io with the store order number: we will support your case with the store and, where we can, settle it in credits on your account instead.
Subscriptions and cancellation
Subscriptions renew automatically for the interval shown at checkout until you cancel. There is no minimum term and no cancellation fee.
A subscription bought on the Sonize website is cancelled inside Sonize itself: open Credits and use Cancel subscription. It takes one confirmation, needs no contact with us, and takes effect at the end of the period you have already paid for — access continues until then, and you can undo the cancellation from the same screen at any point before it. The Stripe customer portal is an alternative route where your plan offers one.
A subscription bought through the App Store can only be cancelled in Apple's settings, under your name and then Subscriptions. One bought through Google Play can only be cancelled in the Play Store, under your profile, then Payments and subscriptions, then Subscriptions. Sonize has no power to cancel a store subscription for you; the Credits screen says so and links you to the right place.
In every case contact@sonize.io stays open as a fallback: tell us you want to cancel and we record the request on the day it reaches us.
Two consumer rules apply on top of that. If you are a consumer on a subscription that renews by tacit agreement, we tell you in writing — no earlier than three months and no later than one month before the end of the period in which you may object to renewal — the last date on which you can object (art. L215-1 of the French Code de la consommation). If that notice does not reach you, you may end the renewed subscription free of charge at any time from the renewal date, and sums paid after that date are reimbursed within 30 days, less the amount corresponding to the service actually supplied. And because the subscription was concluded online, the cancellation route above is the permanent, easily accessible electronic route the law requires, taking no more steps than subscribing did (art. L215-1-1).
Credits, delivery, and failed generations
Credits are digital service units and are not cash. Their price, validity, and consumption are shown before purchase or generation. Credits reserved for a generation that fails because of a Sonize or provider error are automatically returned. A successful order supplies access to one generated song under whichever license in the Terms of Service applies to the plan or pass the song was created under; it does not sell an exclusive copyright or exclusive authorship in the song.
Right of withdrawal and refunds
If you are a consumer, you have 14 days to withdraw from a distance purchase without giving any reason and without penalty (art. L221-18 of the French Code de la consommation; Directive 2011/83/EU, art. 9). The 14 days start on the day the contract is concluded — the day your payment is confirmed and the entitlement appears in your account. If the last day falls on a Saturday, Sunday, or public holiday, the period runs to the end of the next working day.
How to withdraw. Send us an unambiguous statement before the 14 days are over. Email contact@sonize.io with the email address on your account and the order date, or use the model form in the next section, by email or by post to 5 rue Jean-Marie David, 35740 Pacé, France. Sending it before the deadline is enough; it does not have to reach us before then. We confirm receipt by email on the day it arrives. For a purchase made inside the iOS or Android app, use Apple's or Google's own route instead, as set out in In-app purchases above: they are the seller, and we cannot reimburse an order we did not take.
Credit packs and passes. A credit pack or pass is digital content supplied at once. Before payment, checkout asks you to request immediate supply and to acknowledge that you lose the right of withdrawal once supply begins. Where you gave that acknowledgement and supply has actually begun — the credits are in your account — the right of withdrawal is extinguished for that order (art. L221-28, 13°). Where you did not give it, or where supply had not yet begun when you withdrew, the right stands in full and you are reimbursed in full.
Subscriptions. A subscription is a service supplied over time, not content delivered once, so the 14-day right survives whether or not you asked for immediate access; a waiver collected at checkout does not extinguish it. If you withdraw within the 14 days after asking us to start the service, you owe only an amount proportionate to what was supplied before you withdrew, measured against the full price of the subscription (art. L221-25), and we reimburse the rest. If you used none of it, there is nothing to deduct.
Reimbursement. We reimburse you no later than 14 days after we receive your withdrawal, by the same means of payment you used, at no cost to you (art. L221-24). If we are late, the sums due are increased by operation of law under art. L242-4.
None of this affects the legal guarantee of conformity for digital content and services (arts. L224-25-12 and following), which is free and independent of any commercial guarantee.
Legal guarantee of conformity
The legal guarantee of conformity for digital content and digital services is owed by Sonize, is free of charge, and is separate from the right of withdrawal. Articles D. 211-3 and D. 211-4 of the French Code de la consommation prescribe the wording of this notice; the French version of these terms carries that wording verbatim and prevails over this rendering. To rely on the guarantee, write to contact@sonize.io naming the purchase and the defect. No commercial guarantee, no shorter contractual deadline and no waiver of a remedy can be held against you. A disappointing artistic result is not a lack of conformity; a service that does not have a feature we announced may be.
One-off supply — a credit pack, a pass, or content delivered once. You have two years from supply to enforce the guarantee if a lack of conformity appears. For the first year you only have to show that the defect exists, not when it appeared.
Continuous supply — a subscription, or a pass that includes continuous supply. You are entitled to the guarantee for any lack of conformity appearing throughout the contractual supply period: one month for a monthly subscription, one year for an annual one, and the supply period stated in the order summary for a pass; it continues through each renewed period. Throughout that period you only have to show that the defect exists, not when it appeared.
In both cases the guarantee obliges us to supply every update needed to keep the content or service in conformity, and gives you the right to have it brought into conformity without undue delay after your request, free of charge and without major inconvenience to you. You may obtain a price reduction and keep the content or service, or end the contract and be reimbursed in full against giving it up, where we refuse to bring it into conformity, where doing so is unjustifiably delayed, where it cannot be done without cost to you, where it causes you major inconvenience, or where the lack of conformity persists despite our attempt. You are also entitled to a price reduction or to termination straight away, without asking for conformity first, where the defect is serious enough to justify it. Where the lack of conformity is minor, you may cancel the contract only if the contract provides for no payment of a price. Any period during which the content or service is unavailable while being brought back into conformity suspends the remaining guarantee. These rights arise from articles L. 224-25-1 to L. 224-25-31 of the Code de la consommation. A trader who obstructs the guarantee in bad faith incurs a civil fine of up to €300,000, which may be raised to 10% of average annual turnover (art. L. 242-18-1). You also have the legal guarantee against hidden defects under articles 1641 to 1649 of the Code civil, for two years from discovering the defect, giving a price reduction if you keep the content or service or a full refund against giving it up.
